1. Agreement to Terms

By accessing or using the Metronic Skills Assessment Platform ("Platform," "Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

The Platform provides a comprehensive skills assessment and employee management solution that enables organizations to:

• Create and manage skills assessment programs
• Generate AI-powered assessment questions from various document formats
• Track employee progress and performance across programs
• Manage employee data and program enrollments
• Generate analytics and reports on organizational skills development
• Facilitate collaborative question editing and program management

3. Account Registration and Roles

3.1 Account Types

The Platform supports the following user roles:

• Super Administrator: Platform-wide management and oversight
• Administrator: Full organizational access and management
• Manager: Employee and program management within organization
• Editor: Question editing and management for assigned managers
• Employee: Access to assigned programs and assessments

3.2 Registration Requirements

You must provide accurate and complete information during registration:

• Valid work email address (public email domains not permitted for manager/administrator accounts)
• Secure password meeting complexity requirements (minimum 8 characters, uppercase, lowercase, and number)
• Full name and company name
• Acceptance of Terms of Service and Privacy Policy

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring your password is not compromised (we use HaveIBeenPwned API to detect breached passwords)

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Platform for:

• Legitimate business purposes within your organization
• Skills assessment and employee development
• Creating, managing, and distributing programs
• Tracking employee progress and generating reports

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform or other accounts
• Reverse engineer, decompile, or disassemble the Platform
• Use the Platform to harass, abuse, or harm others
• Share your account credentials with unauthorized individuals
• Scrape, mine, or extract data using automated means without permission
• Interfere with or disrupt the Platform's functionality
• Create fake accounts or impersonate others
• Use the Platform for competitive analysis or benchmarking without consent

5. Credit System and Usage

5.1 Credit Allocation

• New organizations start with 200 free credits
• Each employee assessment consumes 1 credit
• Referral program awards 200 credits per successful referral
• Credits are non-transferable between organizations

5.2 Credit Monitoring

You will receive automated alerts when your organization is running low on credits based on average daily usage. It is your responsibility to monitor credit usage and purchase additional credits as needed.

6. Intellectual Property Rights

6.1 Platform Ownership

The Platform, including all software, designs, graphics, and content (excluding user-generated content), is owned by Metronic and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you upload (documents, questions, employee data). By uploading content, you grant us a license to use, store, and process your content solely to provide the Service. We will not use your content for any other purpose without your consent.

6.3 AI-Generated Content

Questions generated by our AI system based on your uploaded documents are considered part of your content. You maintain ownership and control over all AI-generated questions.

7. Data Privacy and Security

We take data privacy and security seriously. Our practices include:

• Encryption of data in transit and at rest
• Role-based access control with row-level security
• Regular security audits and monitoring
• Compliance with GDPR and CCPA requirements
• Comprehensive audit logging of data access

8. Payment and Billing

Current plan types include:

• Free Trial: Includes 200 initial credits for new organizations
• Additional Credits: Available for purchase as needed (pricing available upon request)

Payment terms, refund policies, and pricing for additional services will be communicated when applicable.

9. Service Availability and Modifications

9.1 Service Level

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time. We will provide reasonable notice for significant changes that materially affect functionality.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting support. Upon termination, your data will be deleted within 30 days (subject to backup retention periods).

10.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Pose a security risk to the Platform or other users
• Fail to pay applicable fees (if any)

10.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions regarding intellectual property, liability limitations, and dispute resolution survive termination.

11. Disclaimers and Limitations of Liability

11.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM.

11.3 AI-Generated Content

While we strive for accuracy, AI-generated questions may contain errors or inaccuracies. You are responsible for reviewing and validating all AI-generated content before use. We are not liable for any consequences arising from the use of AI-generated content.

12. Indemnification

You agree to indemnify, defend, and hold harmless Metronic, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you upload or create on the Platform

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@metronic.ai to attempt to resolve the issue informally.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules. You waive the right to participate in class actions or class arbitrations.

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Metronic is registered, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Platform. Continued use after changes indicates acceptance of the updated Terms. You can always view the current Terms at this page with the "Last Updated" date at the top.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Metronic regarding the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
